Terms and conditions
1. Intellectual Property
1.1. Ownership: Inform Analytics holds all intellectual property (IP) rights to any value-added material created during the provision of services.
1.2. Client IP: The client retains ownership of their IP, but grants Inform Analytics a non-exclusive, royalty-free license to use such IP for the purpose of providing services.
2. Data Privacy and Governance
2.1. Compliance: Inform Analytics complies with the Australian Privacy Principles and all applicable data protection laws.
2.2. Data Usage: Data provided by the client will be used solely for the purpose of providing data analysis support and will not be disclosed to third parties without the client's consent, unless required by law.
2.3. Data Security: Inform Analytics maintains appropriate data security measures to protect client data from unauthorised access, disclosure, alteration, or destruction.
3. Confidentiality
3.1. Confidentiality Agreement: Inform Analytics and the client agree to maintain the confidentiality of any non-public information shared during the engagement.
3.2. Exceptions: The confidentiality obligation does not apply to information that is publicly available or becomes public without breach of this agreement.
4. Termination
4.1. Termination by Either Party: Either party may terminate the engagement by providing written notice. Upon termination, all outstanding fees must be settled, and any client data will be returned or destroyed as per the client's instructions.
5. Liability
5.1. Limitation of Liability: Inform Analytics' liability for any claims arising from the services provided is limited to the fees paid by the client for those services.
6. Fees and Payment
6.1. Billing Rate: The client acknowledges that fees are determined in accordance with the Inform Analytics Rate Card, which outlines the standard rates for services provided.
6.2. Time and Materials Basis: Services are typically billed on a time and materials basis, where fees are calculated based on the actual time spent and resources utilised to deliver the services.
6.3. Additional Time and Scope: Unless otherwise stated, the client agrees that fees may exceed any initial quoted estimate when additional time and scope are requested or required by the client. Any such additional fees will be communicated and agreed before proceeding with the expanded scope of work.
6.4. Payment Terms: Payment terms are as specified. Delay in payment may result in withheld provision of services or termination of the engagement.
7. Governing Law
7.1. Jurisdiction: These terms and conditions are governed by the laws of Queensland, Australia. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in Queensland.
